Mr. Macaulay joined EagleTree Capital, ULC in 2020. In addition to being an Operating Partner, he also serves as the Chief Responsible Investment Officer for Eagletree Capital. Before joining EagleTree, Mr. Macaulay was the head of private equity at the Investment Management Corporation of Ontario (IMCO) and formerly the head of private equity at the Ontario Pension Board (OPB), an IMCO founding client. Prior to IMCO/OPB, he was a senior investment professional for the University of British Columbia Investment Management Trust and the head of the Vancouver investment consulting practice for Hewitt Associates.
Mr. Macaulay has served on the Board of Directors and/or as a Board Advisor on twelve different companies and is currently a member of the Investment Committee of the Pension Fund of the United Church of Canada.
He received his Bachelor of Commerce (Honours) with Distinction from the University of Manitoba, majoring in Actuarial Mathematics and Research/Operations Management and is a CFA Charterholder.
This Responsible Investment Policy (the “Policy”), dated March 2025, reflects our current approach to considering and addressing Responsible Investment (“RI”) factors, which has been further developed and refined since we became a PRI signatory in 2019 and adopted our initial responsible investment policy in 2017. This Policy reflects the same fundamental principles and commitment to integrate RI considerations into our investment management business and portfolio company ownership practices as we have always integrated. In developing this Policy, we have considered a range of guidance, including the Principles for Responsible Investment and the American Investment Counsel Guidelines for Responsible Investment.
EagleTree has always strived to maintain a strong culture of good governance to ensure that it operates in a socially responsible manner. In furtherance of this ethos and in accordance with our responsibilities to our clients and other stakeholders, EagleTree is committed to identifying and considering RI issues, risks and opportunities associated with potential portfolio company investments and engaging with portfolio companies on these matters as necessary during our ownership.
In addition, we remain committed to compliance with national, state and local labor laws in jurisdictions in which we invest and to provide a safe and healthy workplace consistent with national and local laws. EagleTree continues to maintain policies and procedures that prohibit bribery and other illegal payments to public officials consistent with U.S. federal and state laws. We have also implemented and continue to update, as necessary, a robust cyber-security framework in order to protect our systems, networks, programs, devices and Firm and investor data from cyber-attacks.
This Policy is intended to provide a broad framework for EagleTree’s overall approach to RI. EagleTree recognizes that its approach to different RI factors may vary among portfolio companies of different sizes, that fall within different industry sectors and that operate in different geographies. Therefore, EagleTree may incorporate and alter different elements of this Policy for different portfolio companies across the stages of our investment management process, including during pre-acquisition, throughout ownership, and when positioning a portfolio company for an exit.
EagleTree’s RI initiatives are overseen by its RI Committee, which includes EagleTree’s two Co-Managing Partners and other members of senior management. The RI Committee meets at least quarterly. An RI Sub-Committee has also been formed to function as a working group that carries out the day-to-day aspects of EagleTree’s responsible investment efforts and initiatives and is available as a resource for investment team members. The RI Sub-Committee generally meets on a weekly basis and its responsibilities include: (i) engaging with EagleTree’s deal teams on preacquisition RI due diligence matters; (ii) engaging with EagleTree’s third-party RI specialists to conduct annual portfolio company-level RI reviews; (iii) responding to investor and other stakeholder RI requests; (iv) conducting annual employee training; and (v) reviewing and updating this Policy and EagleTree’s overall approach to responsible investment, as necessary, from time to time. The RI Committee also aims to ensure that all EagleTree employees are aware of EagleTree’s culture and any amendments to this Policy.
As applicable, EagleTree’s Investment Committees in partnership with the RI Sub-Committee oversees and considers RI issues, if any, that are material to a potential portfolio company investment. With assistance from the RI Sub-Committee and outside RI specialists, as appropriate, EagleTree’s deal teams manage and monitor material RI issues that have been identified during portfolio company ownership.
EagleTree continues to promote an inclusive and cohesive working and investing environment. The Firm focuses on recruiting talented and skilled candidates and promoting and retaining them through professional development, training and networking opportunities. EagleTree has formalized its commitment to a strong Firm culture in its Firm Culture statement and, in 2021, became a signatory to ILPA’s DIA Initiative.
EagleTree has a history of charitable giving and an active Philanthropic Committee that strives to support a number of charities from both a financial and volunteer perspective and carries out the Firm’s initiatives in this regard. Our Philanthropic Committee, identifies several nonprofit charities each year with whom employees volunteer and EagleTree supports. EagleTree continues to encourage all of its employees to actively engage in nonprofit volunteer activities and giving in our communities.
EagleTree aims to provide timely information to its clients and other stakeholders on the matters addressed herein and to work with them to foster transparency with regard to its RI initiative. Mr. Majoros joined EagleTree Capital’s original predecessor firm Wasserstein Perella in 1993. Prior to Wasserstein Perella, Mr. Majoros practiced law with Jones Day, where he specialized in contested takeovers, mergers and acquisitions, and corporate and securities law.
Mr. Majoros leads EagleTree’s investment activities in the consumer sector and is a member of EagleTree’s Investment Committee. Mr. Majoros currently serves on the Boards of Directors of Corsair, Lignetics, Mackenzie-Childs, Summit Hill Foods and Warbird Marine Holdings. He previously served on the Boards of Directors of numerous companies including ALM Media, American Seafoods Group, Collins & Aikman, Harry & David, MasterCraft Boat Company, Maybelline, Paris Presents, So Delicious Dairy Free, Sunbelt Plastics, and Yardley of London, where he also served as the Chief Executive Officer of its North American business.
Mr. Majoros received his A.B. in Economics from the University of Michigan and his J.D. from Case Western Reserve University Law School, where he was Managing Editor of the Law Review. He served for many years as a member of the Board of Trustees of Case Western Reserve University, where he served as Chairman of the Investment Committee for its endowment fund. He was also formerly on the Board of Directors of the Rock and Roll Hall of Fame and Museum.
Mr. Martin joined EagleTree Capital’s predecessor firm Wasserstein & Co. in 2004. Prior to Wasserstein & Co., Mr. Martin worked at UBS Los Angeles, focusing on leveraged finance, consumer products and media transactions.
Mr. Martin helps lead EagleTree’s investment activities in the consumer sector. Mr. Gray joined EagleTree Capital in 2020 after consulting on a number of transactions over the last several years. As Operating Partner he helps lead activities principally in the media and business services sector, focusing particularly on supporting management teams through the investment life cycle. He currently serves on the Board of Directors of Arc and The Channel Company. He previously served on the Board of Directors of Sparks and as a Board observer of FROSCH.
Before joining EagleTree Mr. Gray served in a number of senior executive roles in the Business Services sector including CEO of PR Newswire and Executive Director, CFO and Acting CEO of UBM plc. Previously he was CFO of Codere SA following an extensive career in senior investment banking positions at J.P. Morgan & Co. and Deutsche Bank.
Mr. Gray served as Vice Chairman of the Board and Audit Committee Chair of eDreams Odigeo, the largest European online travel agency, from its 2014 IPO until March 2020.
He received his B.A. at Dartmouth College and an M.B.A. at Harvard Business School.

Mr. Ng joined EagleTree Capital in 2021. Prior to EagleTree, Mr. Ng was an Executive Director at Olympus Capital Asia where he oversaw the accounting, financial operations, tax and treasury functions. Prior to that, Mr. Ng worked at Deloitte & Touche in Audit and Assurance in New York and London.

As Group President he was responsible for overseeing and leading the success and advancement of the global health, nutrition, pharmaceutical and live design markets: a global portfolio that consisted of New Hope Network, SupplySide, Vitafoods, Food ingredients, CPHI and Live Design.
In a 20+ year career with New Hope/Penton/Informa (which owns Expo East and Expo West, the preeminent trade shows for the natural and organic food, beverage, ingredient and personal care products sectors), he oversaw several transactions as well as specializing in structuring and leading strong management teams. He is considered a thought leader in the healthy lifestyle industry.
Mr. Linder has served on several boards including: The Society of Independent Show Organizers, Bastyr University, and The Dietary Supplement Education Alliance, and was on the Company Council of the International Alliance of Dietary Supplement Associations. He received his B.A. in English from the University of Colorado.
Mr. Abramov joined EagleTree Capital in 2021. Prior to EagleTree, Mr. Abramov was an associate in the M&A Group at Paul, Weiss, Rifkind, Wharton & Garrison, LLP where he represented a wide range of private equity sponsors and their portfolio companies in public and private mergers, acquisitions, strategic investments and joint ventures.

Mr. Woo received a B.A. in Honors Business Administration from the Richard Ivey School of Business at the University of Western Ontario.
Mr. McCrary joined EagleTree Capital in 2018. Prior to EagleTree, Mr. McCrary worked at Bank of Montreal in the Sponsor Finance Group.
Mr. McCrary received his B.A. in Business and Economics from Wheaton College, graduating summa cum laude.
Mr. Wang joined predecessor firm Wasserstein & Co. in 2014. Previously, Mr. Wang worked as an analyst at Lazard in the Corporate Finance & Capital Structure Advisory Group.
Mr. Wang received his B.S. in Economics with a concentration in Finance from the Wharton School of the University of Pennsylvania, graduating summa cum laude.
Ms. Materasso joined predecessor firm Wasserstein & Co. in 2016. She works as an office assistant and as an assistant to the finance team. She holds a B.A. in Communications from Marymount Manhattan College.
Ms. Concessao joined predecessor firm Wasserstein & Co. in 2015. Previously, she worked as an analyst in the Technology, Media & Telecom Investment Banking Group at Bank of America Merrill Lynch.
Ms. Concessao received a B.A. in Economics from Wellesley College, graduating magna cum laude and Phi Beta Kappa.
Ms. Gardiner joined predecessor firm Wasserstein & Co. in 2014. She is an executive assistant in the Private Equity group as well as the Credit Fund group. Previously, she has worked in administrative positions with New Video Group and the Argosy Foundation. She holds a B.A. from Wesleyan University and an M.F.A. from the University of California, Irvine.
Mr. Huang joined the original predecessor firm Wasserstein Perella in 1995. Although Mr. Huang left Eagletree in May 2017, he continues to serve as a Senior Advisor. He has worked on a broad variety of transactions ranging from early stage venture capital investments to the sale of publicly traded portfolio companies. Mr Huang previously served on the Boards of Directors of Encompass Digital Media and So Delicious Dairy Free.
Mr. Huang received two concurrent degrees from the University of Pennsylvania, graduating magna cum laude with general honors. He received a B.S. in Economics with a concentration in Finance from the Wharton School of Business and a B.A. in English from the College of Arts & Sciences.
Ms. Barragan joined EagleTree Capital in 2023. Prior to EagleTree, Ms. Barragan worked at Silver Point Capital, where she focused on business development and investor relations. Prior to Silver Point, Ms. Barragan worked at Morgan Stanley in the Public Finance Investment Banking Group.
Ms. Barragan received her B.A. in Political Science from Yale University.
